Introduction and Acceptance of Terms
These Terms and Conditions (“Terms”) form a binding
agreement between you (“User” or “you”) and Halabrix FZ
(“Halabrix”, “we”, “our”). Halabrix provides AI-driven voice
and chat agent services and related software (the “Service”)
through our platform, website, and APIs. By accessing or
using the Service, you acknowledge that you have read,
understood, and agree to be bound by these Terms. If you do
not agree with any part of these Terms, do not use the
Service. If you are using the Service on behalf of a
business or organization, you represent that you have the
authority to bind that entity to these Terms.
2. Definitions
- AI Agents: The AI-powered virtual agents or assistants (voice or text) provided by Halabrix to perform tasks such as making calls or sending messages.
- Platform: The Halabrix online interface, applications, APIs, and other tools through which the Service is accessed.
- Service: The collective services offered by Halabrix, including AI agent services, platform features, and related support.
- AI-Generated Communications: Any calls, texts, emails, or chat messages initiated or processed by an AI Agent.
- User Content: Any information, data, text, or materials that you upload to or provide through the Service (for example, scripts, customer data, recordings).
- Intellectual Property Rights: All rights in patents, copyrights, trademarks, trade secrets, and other proprietary rights.
These definitions apply whether they appear in singular or plural form.
3. Service Description and Modifications
3.1. Service Overview
Halabrix provides AI-powered voice and chat agents capable
of performing automated tasks and conversations. These
agents can operate 24/7, subject to system maintenance. They
support multiple languages (including Arabic and English)
and can handle a variety of business functions. These
include, but are not limited to, sales and marketing calls,
lead generation, customer support, scheduling and
appointment booking, payment or order processing, debt
collection, and survey/feedback collection. We may introduce
new features over time to enhance the Service.
3.2. Service Modifications
Halabrix reserves the right to modify, suspend, or
discontinue any part of the Service at any time. This
includes changing, limiting, or removing features without
prior notice. We may also impose limits on certain features
(for example, monthly usage limits) or restrict your access
to parts of the Service without liability. You agree that
Halabrix will not be liable to you or any third party for
any modifications, suspension, or discontinuation of the
Service.
4. User Registration and Account Management
4.1. Eligibility Requirements
To use the Service, you must register for an account.
You warrant that you are of legal age in your jurisdiction
(at least 18 years old) and have the legal authority to
enter into these Terms on behalf of yourself or your
organization. If registering on behalf of a company, you
must have the authority to bind that company to these Terms.
You agree to provide accurate, current, and complete
information during registration and to keep it updated.
4.2. Account Security
You are responsible for maintaining the confidentiality of
your account login credentials. Do not share your password
or account with others. You are responsible for all
activities that occur under your account. If you suspect any
unauthorized use of your account or any breach of security,
you must notify Halabrix immediately. Halabrix will not be
liable for any loss or damage arising from your failure to
comply with these obligations.
4.3. Account Restrictions
You agree not to: (a) share your account with unauthorized
users or multiple parties; (b) create accounts through
automated means (such as bots) or falsify any registration
information; (c) use the Service for fraudulent or illegal
purposes. You are also responsible for complying with any
laws related to your use of the Service. Halabrix may
suspend or terminate your account if we suspect violation of
these rules or any misuse of the Service.
5. AI Communications and Consent
5.1. Explicit Consent
You must ensure that all AI-Generated Communications comply
with applicable laws. In particular, before using AI Agents
to call or message individuals, you must obtain any required
consents or provide required disclosures under UAE law (and
any other applicable jurisdiction). For example, you should
inform recipients that they are speaking with an AI agent if
required by law or good practice. You are solely responsible
for obtaining consent from recipients of AI calls or
messages and for maintaining records of such consent.
Halabrix is not responsible for determining whether you have
the necessary consent; that responsibility rests with
you.
5.2. Third-Party Consent Requirements
If your AI agent will contact customers, clients, or
other third parties (for example, dialing phone numbers not
owned by you), you must ensure that all such contacts are
legally permissible. This includes:
• Obtaining permission for telemarketing or automated calls if required.
• Respecting any do-not-call lists or marketing regulations.
• Ensuring that any third-party data (such as lead lists)
was collected and processed in compliance with applicable
laws.
Failure to comply with these requirements may result in the
suspension of your Service and/or termination of these
Terms. You agree to indemnify Halabrix for any claims
arising from your failure to obtain proper consents or
comply with communication laws.
5.3. Recording and Monitoring
Our Service may record audio or messages during AI
interactions for quality assurance, training, compliance,
and troubleshooting purposes. You agree that these
communications may be monitored by Halabrix. You are
responsible for complying with any laws regarding notice or
consent to recording. For example, if local law requires you
to notify or obtain consent from parties before recording a
call, you must ensure this is done. Halabrix is not
responsible for notifying call participants; we simply
record as part of service operations.
6. Data Protection and Privacy
6.1. Legal Compliance
Both you and Halabrix must comply with applicable data
protection and privacy laws when using the Service. Halabrix
implements reasonable measures in accordance with UAE
privacy laws to protect personal data. You agree to only
provide data to the Service that you are authorized to
share, and to use the Service in a lawful manner. You remain
the data controller of any personal data you input or send
through the Service. You must ensure that processing
(including transfer of data to Halabrix) has a valid legal
basis (such as consent or legitimate interest) under the
law.
6.2. Data Processing Activities
Our data processing activities include:
• Collection of information you provide (contact details, scripts, customer data).
• Processing of interactions (audio, text, metadata) generated by the Service.
• Use of cookies or similar technologies on our website for login and analytics.
• Billing and account management (invoices, payment
processing).
We use this data to deliver the Service, communicate with
you, generate reports, and improve our products.
6.3. Data Security
Halabrix uses technical and organizational security measures
to protect data. This includes encrypting data in transit
(SSL/TLS) and at rest, implementing strong access controls,
conducting regular security reviews, and maintaining
up-to-date systems. We also have processes for vulnerability
testing and security monitoring. However, because no system
can be completely secure, we limit our liability for
breaches except where mandated by law.
6.4. Data Rights
You have rights regarding personal data held by Halabrix:
• Access and Portability: You may request a copy of the personal data we hold about you or export your data from the Service.
• Correction: You may request correction of inaccurate personal data.
• Deletion: You may request deletion of your personal data, subject to legal retention requirements (for example, financial records).
• Objection: You may object to or restrict processing of
your personal data under certain circumstances (for example,
for direct marketing).
To exercise any of these rights, please contact us at
legal@halabrix.com. We will respond in accordance with UAE
law and within any required timeframes.
7. Intellectual Property Rights
7.1. Halabrix Ownership
All intellectual property rights in the Halabrix
Service and platform belong to Halabrix or its licensors.
This includes software code, AI models, trademarks, logos,
and all related content (including the name “Halabrix” and
any branding). You acknowledge that you have no rights in
the Service except those explicitly granted by these
Terms.
7.2. License Grant
Subject to your compliance with these Terms, Halabrix grants
you a limited, non-exclusive, non-transferable, revocable
license to use the Service for your internal business
purposes. This license does not allow you to sublicense,
sell, distribute, modify, or reverse-engineer any part of
the Service. Your access to the Service may be terminated if
you breach these Terms.
7.3. User Content
You retain ownership of any User Content you provide. By
submitting User Content to the Service, you grant Halabrix a
worldwide, royalty-free license to use, reproduce,
distribute, and display that content as necessary to provide
the Service (for example, processing voice recordings or
sharing data among your agents). You represent and warrant
that you have all rights and permissions needed for any User
Content you submit (for example, you have the consent of
individuals whose data you provide to Halabrix). Halabrix
may also use aggregated, non-identifiable data derived from
your use of the Service to improve our AI models.
8. Payment Terms and Billing
8.1. Fees and Payment
Certain Halabrix services may require payment of fees.
You agree to pay all applicable fees as described in your
subscription plan or order. Fees may be charged on a
subscription basis (e.g. monthly or annually) or
usage-based. Halabrix will invoice you for fees and any
applicable taxes. Unless otherwise stated, all payments are
due within 30 days of the invoice date. We may change our
fees or introduce new charges, but will notify you at least
30 days in advance of any material increase. Late payments
may accrue interest at the maximum rate permitted by law.
8.2. Payment Processing
We support secure payment methods. When you make
payments, you may be directed to a third-party payment
gateway. Halabrix does not store your full payment card
details; we rely on PCI-compliant service providers. In case
of payment disputes or charges, we will work with you and
the payment processor to resolve issues.
9. Service Level Agreement
9.1. Service Availability
Halabrix strives to provide high availability of the
Service. We aim for uptime targets (for example, 99.9% for
critical components), although we cannot guarantee
uninterrupted operation. Scheduled maintenance may require
temporary service downtime; we will notify you of planned
maintenance windows in advance. In the event of unplanned
outages, we will use reasonable efforts to restore service
promptly. Our liability for any downtime is limited as
described in Section 10.
9.2. Support Services
We provide technical support to our customers during
standard business hours (UAE time) via email or support
portal. Our support team will acknowledge inquiries and work
to resolve issues. Response and resolution times depend on
the severity of the issue. We may provide different levels
of support (for example, higher-tier support for enterprise
clients) as specified in your subscription plan. We also
maintain an online knowledge base and documentation to help
you use the Service.
10. Liability and Indemnification
10.1. Limitation of Liability
To the maximum extent permitted by law, Halabrix and
its affiliates are not liable for any indirect, special,
incidental, punitive, or consequential damages (including
lost profits or business interruption) arising out of or
related to the Service or these Terms, even if advised of
the possibility of such damages. Our total cumulative
liability for direct damages will not exceed the total fees
paid by you to Halabrix under these Terms in the twelve
months preceding the claim.
10.2. Indemnification
You agree to indemnify, defend, and hold harmless Halabrix,
its affiliates, officers, and employees from any and all
claims, liabilities, damages, losses, or expenses (including
legal fees) arising from or related to: (a) your use of the
Service, (b) any User Content you submit, (c) your violation
of these Terms or any applicable law, (d) any infringement
of third-party rights caused by your actions, and (e) any
communications made by you through the Service. Halabrix
will promptly notify you of any covered claim and give you
control of the defense or settlement, and you must cooperate
in the defense.
11. Term and Termination
11.1. Duration
These Terms take effect when you first use or accept them
and will continue for as long as you have an account or use
the Service. You or Halabrix may terminate your account at
any time. You may cancel your subscription or account by
providing notice through the Halabrix platform or by
contacting support. Halabrix may suspend or terminate your
access if you breach these Terms, violate the law, or misuse
the Service.
11.2. Post-Termination
Upon termination or suspension of your account, your
right to use the Service ends immediately. You will not be
entitled to any refunds unless otherwise specified in your
subscription agreement. Halabrix will securely delete or
de-identify your data from active systems after termination,
except where retention is required by law. You may export
your data during a limited period following cancellation.
Obligations that by their nature should survive termination
(such as confidentiality, intellectual property, indemnity,
and limitations of liability) will continue in effect.
12. Dispute Resolution
12.1. Governing Law
These Terms and any dispute arising out of them will be
governed by and construed in accordance with the laws of the
United Arab Emirates.
12.2. Jurisdiction and Process
If a dispute arises, we encourage informal resolution first.
If that fails, any unresolved dispute will be brought in the
courts of the UAE or resolved by arbitration in the UAE, at
Halabrix’s option. You agree to submit to the jurisdiction
of UAE courts or arbitral tribunals for dispute resolution.
These forums have exclusive jurisdiction over any claims.
This clause survives termination of the Terms.
13. General Provisions
13.1. Miscellaneous
• Entire Agreement: These Terms, together with any order form or additional terms we provide, constitute the entire agreement between you and Halabrix regarding the Service. They supersede all prior agreements or communications.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force.
• Waiver: If Halabrix fails to enforce any right under these Terms, that does not waive our right to enforce that or any other provision later.
• Assignment: You may not assign or transfer your rights under these Terms without Halabrix’s prior written consent. Halabrix may assign these Terms in connection with a sale or transfer of our business.
• Force Majeure: Halabrix is not liable for delays or failures caused by events beyond our reasonable control (such as natural disasters, strikes, or internet outages).
• Relationship: Nothing in these Terms creates an employer-employee or partnership relationship. Both parties are independent contractors.
• Third-Party Rights: Except where expressly stated, these
Terms do not grant rights to any third parties.
13.2. Notices
All notices under these Terms must be in writing. You
consent to receiving notices electronically (for example,
via email to your registered address). To give us notice,
contact Halabrix at legal@halabrix.com. To notify you, we
will use your account email or other contact methods you
have provided. Notices are effective upon receipt.
14. Changes to Terms
We may modify these Terms at any time. If we do, we will
notify you (for example, via email or a banner in the
platform) and indicate the effective date of the changes. It
is your responsibility to review updates. If you do not
agree to new terms, you must stop using the Service.
Continued use of the Service after the effective date
constitutes acceptance of the modified Terms. We maintain a
history of past versions of the Terms for your reference.
